Software License Agreement

1 Agreement

1.1 Definition

This Software License Agreement (the “Agreement”) is a legal agreement between an individual user (“You”) and OPEN CASCADE S.A.S. (“OPEN CASCADE”), a limited liability company registered at 1 Place des Frères Montgolfier, 78280 Guyancourt, France, regarding Your use of the CAD Assistant application and included materials (the "Software").

1.2 Acceptance

By installing and / or using the Software, You accept and agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, You may not install, use, or otherwise access the Software.

2 License

2.1 Free of charge

Use of the Software within the scope of this License is free of charge and requires no royalty or licensing fees.

2.2 Granted rights

You are granted a non-exclusive License to download, install, and use the Software for the intended purpose of viewing and converting CAD and 3D mesh files, on any number of computers or other electronic devices, and for an unlimited period of time. Use in commercial environments is explicitly allowed.

You may copy and redistribute the Software in a whole package as provided by OPEN CASCADE, not bound to any other software, preserving the Software structure, copyright notices, disclaimer of warranty, and this Agreement.

2.3 Termination

This License and the rights granted hereunder will terminate automatically if You fail to comply with terms herein and fail to cure such breach within 30 days of becoming aware of the breach. Provisions which, by their nature, must remain in effect beyond the termination of this License shall survive.

OPEN CASCADE reserves the right to revoke the license at any time, for any or no reason.

3 Intellectual property rights

3.1 Copyright

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold.

You acknowledge and agree that OPEN CASCADE retains copyright and all proprietary rights in and to the Software as a whole.

3.2 Open-Source components

The Software includes components subject to open-source software licenses ("Open-Source Components"). The copyright and other proprietary rights to these components belong to their respective owners. The list of the used Open-Source Components and text of the applicable licenses is included with the Software.

You can download source code of the Open-Source Components used by the Software from www.opencascade.com. If you need particular advice on how to execute your rights granted by these licenses, You can request it using Contact Us page.

Except for the Open-Source Components, You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software, or algorithms used by the Software, and not permit other parties to do so.

3.3 Trademarks

The use of the Software does not grant You any rights of ownership to OPEN CASCADE name, trademarks, service marks, trade names, logos or other words or symbols, which are and shall remain the exclusive property of OPEN CASCADE.

4 Privacy and confidentiality

4.1 Personal data

The Software does not collect any user data and does not transmit any personal information to OPEN CASCADE or any third-party servers.

4.2 Automatic updates

Depending on a platform and distribution package, the Software can include optional component that can communicate from time to time with OPEN CASCADE servers to check for availability of the new versions of the Software, and download and install these updates. You can disable this check in the Software options.

When update is available, the Software will notify You and explicitly prompt Your confirmation before downloading and installing it.

5 Maintenance and support

5.1 Maintenance

OPEN CASCADE is going to maintain the Software and may publish from time to time updated versions of the Software.

You may send your feedbacks on usage of the Software, and suggestions for possible improvements, using contact information provided in the Software and on OPEN CASCADE web site. OPEN CASCADE will take these feedbacks into account when improving the Software, however, it does not commit on providing direct replies to feedback messages.

5.2 Support and consulting

This Agreement does not entitle You to receive support, consulting or any other services from OPEN CASCADE.

You can request support and consulting for the Software from OPEN CASCADE in the frames of commercial support programs offered at www.opencascade.com.

6 Disclaimers

6.1 No warranty

The Software is provided "AS IS" and OPEN CASCADE makes no any express or implied warranty as to its use or performance. The entire risk arising out of use of the Software remains with You.

6.2 Limitation of liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT IN NO EVENT OPEN CASCADE SHALL BE HELD LIABLE FOR ANY DAMAGES, CLAIMS OR COSTS WHATSOEVER OR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL DAMAGES, OR ANY LOST PROFITS OR LOST SAVINGS, ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF OPEN CASCADE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, CLAIMS OR COSTS OR FOR ANY CLAIM BY ANY THIRD PARTY.

7 Miscellaneous

7.1 Applicable jurisdiction

You understand and accept that Your use of the Software is subject to the French legislation, and any disputes related to the Software must be brought in the courts of the city of Paris (France).

Notwithstanding the above, OPEN CASCADE shall exclusively and at its own discretion retain the right to bring proceedings against You for the breach of this Agreement in Your country of residence or any other relevant country.

7.2 Non-waiver

If any provision of this Agreement shall be held by a court of competent jurisdiction to be contrary to law, that provision will be enforced to the maximum extent permissible, and the remaining provisions of this Agreement will remain in force and effect.

7.3 New versions

New versions of the Software can be published under revised and / or new versions of the Agreement. Each version will be given a distinguishing version number.
